Terms of service

These Terms of Service ("Terms") are a legal agreement between you and Haru, Inc. ("Haru," "we," "our," "us") that govern your access to and use of the Haru website and any related services we make available through it. By accessing or using the site, you agree to these Terms. If you do not agree, please do not use the site.

Who may use the site

You must be at least 18 years old and legally able to enter into a contract to use the site. By using the site, you represent that the information you provide is accurate, that you are using the site for lawful purposes, and that if you are acting on behalf of a business or other entity, you are authorized to bind it to these Terms.

Acceptable use

When you use the site, you agree not to:

• Access, tamper with, or use non-public areas of the site or our underlying systems.
• Interfere with or disrupt the operation of the site, including by introducing malware, excessive traffic, or denial-of-service activity.
• Scrape, crawl, or harvest content by automated means beyond ordinary browsing, or circumvent rate limits, security measures, or access controls.
• Reverse engineer, decompile, or attempt to derive source code from any part of the site, except to the extent applicable law prohibits that restriction.
• Submit false, misleading, or unlawful information, use the site to send spam, or impersonate another person or entity.
• Use the site in a way that violates applicable law or infringes the rights of others.

Your submissions

If you submit information to us through the site (such as contact details, messages, or requests), you represent that you have the right to share it and grant us a non-exclusive, worldwide, royalty-free license to use it for the purposes of responding to you, providing and improving our services, and complying with our legal obligations. We do not claim ownership of your submissions.

Intellectual property

All content on the site — including text, graphics, illustrations, logos, trademarks, and software — is owned by Haru or its licensors and is protected by intellectual property and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to view and use the site for its intended purpose. You may not copy, modify, distribute, sell, lease, or otherwise exploit the site or its content without our prior written permission, except as permitted by law.

Feedback

If you send us ideas, suggestions, or other feedback about the site or our services, you agree that we may use it without obligation or compensation to you.

Third-party links and services

The site may contain links to websites or services operated by third parties. We do not control and are not responsible for the content, policies, or practices of any third-party site or service. Your use of those sites is at your own risk and subject to their terms.

Disclaimers

The site is provided "as is" and "as available." To the fullest extent permitted by law, Haru disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the site is accurate, complete, or current.

Limitation of liability

To the fullest extent permitted by law, Haru and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to these Terms or your use of the site, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim relating to these Terms or the site will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold Haru and its affiliates, officers, employees, and agents harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the site, your submissions, your violation of these Terms, or your violation of any law or the rights of a third party.

Termination

We may suspend or terminate your access to the site at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the site or any part of it. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section limits either party's ability to seek injunctive relief in any court of competent jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If the changes are material, we will take reasonable steps to bring them to your attention. Your continued use of the site after the changes take effect means you accept the updated Terms.

Miscellaneous

These Terms are the entire agreement between you and Haru regarding the site and supersede any prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely.
